These Terms & Conditions (“Terms”) govern your use of ctrlab.in (the “Website”) and the engagement of services provided by CTRLab – NextGen Solutions (“CTRLab”, “we”, “us”). CTRLab provides digital product and software development services, including:

• Inventory management systems and related modules.
• WhatsApp automation products and integrations.

The specific scope, deliverables, timeline, and commercial terms for any engagement will be defined in a separate written agreement, statement of work, or proposal agreed between you and CTRLab. In the event of any conflict, the specific agreement prevails over these Terms with respect to that engagement.

2. Use of the website

You agree to use the Website lawfully and responsibly. In particular, you will not:

• Use the Website for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorised access to systems, accounts, or data (no hacking or misuse of any kind).
• Post, upload, or transmit any abusive, defamatory, infringing, or otherwise objectionable content.
• Introduce viruses, malware, or any code harmful to the Website or its users.
• Scrape, overload, or otherwise disrupt the normal operation of the Website.

4. Project deliverables

Project deliverables (including designs, source code, configurations, and documentation) are delivered on completion of payment in accordance with the agreed milestones. Unless otherwise agreed in writing, source code is transferred to the client only upon receipt of full payment for the project. Until full payment is received, CTRLab retains ownership of all deliverables. Custom third-party licences required for a project remain subject to their respective licence terms.

5. Pricing and payments

• Prices listed on the Website or in proposals are indicative and subject to confirmation in a signed agreement.
• GST and any other applicable taxes apply as per Indian law and are added to the invoice where applicable.
• Advance payments are collected at project commencement, with subsequent payments linked to agreed milestones.
• Payment terms (including currency, method, and due dates) are specified in the invoice or engagement agreement.

6. Third-party services

Our products and projects may integrate with third-party services (such as hosting, payments, email, or messaging providers). We are not responsible for the availability, performance, or practices of such third-party services, and your use of them is subject to their respective terms and policies.

7. Disclaimers

The Website and its content are provided on an “as-is” and“as-available” basis. To the fullest extent permitted by law, CTRLab disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. 8. Limitation of liability

Our aggregate liability for any claim arising out of or relating to an engagement is limited to the amount actually paid by you to CTRLab for the specific service giving rise to the claim.

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
